Sections
1. Scope of Services
Vivago Digital provides website design and development, mobile application development, UI/UX design, digital strategy consulting, and related digital services as agreed upon in individual project contracts or Statements of Work (SOW).
2. Client Responsibilities
To ensure successful project delivery, clients agree to:
- —Provide accurate, timely, and complete project requirements and materials
- —Designate a primary point of contact for project communications
- —Review and provide feedback within agreed timelines
- —Make payments according to the agreed-upon payment schedule
- —Ensure they have legal rights to any third-party content or assets provided to us
3. Intellectual Property
Upon full receipt of payment, Vivago Digital assigns all rights to the final deliverables to the client, unless otherwise agreed in writing.
Vivago Digital retains the right to display completed work in our portfolio (with permission) and reuse general methodologies, tools, and non-proprietary code.
4. Confidentiality
Both parties agree to maintain strict confidentiality regarding all project-related information, proprietary data, and business strategies. This obligation continues for 3 years following project completion.
5. Payment Structure & Milestones
Vivago Digital follows a transparent, milestone-based payment model:
Stage 1: Advance Payment
Non-refundable. Secures your project slot and covers initial planning and design setup.

Stage 2: First Milestone
Due upon completion of approximately 30% of work and submission of progress report.

Stage 3: Second Milestone
Due upon reaching 60% progress and submission of second report.

Stage 4: Completion & Testing
Upon 90% payment, project is handed over for testing (7 days to 2 months). Source code is withheld until final payment.
Access Granted
Stage 5: Final Handover
Final payment due after successful testing. Full source code and all assets are delivered.

6. Revisions & Change Requests
Each project includes a defined number of revision rounds. Additional revisions or scope changes will be subject to additional fees at our standard hourly rate.
7. Warranties & Liability
Vivago Digital warrants that all services will be performed with professional care and industry-standard quality. Our total aggregate liability for any claim shall not exceed the total fees paid for the specific project.
8. Client Satisfaction Guarantee
We provide 24/7 support for critical issues and a full 1-year free bug fixing period following final handover. This covers defects in our original code and implementation.
- —Critical (system down): Response within 2 hours
- —High (major feature broken): Response within 4 hours
- —Medium (partial issue): Response within 12 hours
- —Low (minor/cosmetic): Response within 24 hours
9. Force Majeure
Vivago Digital shall not be held liable for any delay or failure resulting from events beyond our reasonable control, such as natural disasters, pandemics, or nationwide infrastructure failures.
10. Governing Law
This agreement shall be governed by the laws of Bangladesh. Disputes follow a step-by-step process: Direct Negotiation, Formal Mediation, and finally Binding Arbitration.
